1. Our Values
### 1.1
Bosworth Solutions and each of its subsidiaries (collectively referred to as “we,” “our,” “us”) are dedicated to achieving excellence in all aspects of our business.

We always strive to maintain the highest professional standards and comply with all relevant laws, rules, and regulations. Our corporate responsibility strategy aims to enhance the positive impact of our business on society. We expect the same high standards from our suppliers. A reliable and ethical supply chain is crucial for our operations. Therefore, we expect our supply chain partners to conduct their business ethically, responsibly, with integrity, honesty, and transparency, and in compliance with all applicable laws, rules, and regulations. Where there are differences between the provisions of the law and this code, the higher standard should be applied. We require all our suppliers to endorse our values by adhering to this Supplier Code of Conduct.

As a minimum, we expect all our suppliers to meet the standards and uphold the principles outlined in this Supplier Code of Conduct. We also expect our suppliers (referred to as “you,” “your”) to hold their own supply chains to the same standards. This Supplier Code of Conduct is not exhaustive and should not be used to prevent companies from exceeding these standards.
2. Principles of Supplier Conduct
2.1 Anti-Discrimination
You shall not discriminate against any worker based on age, disability, gender reassignment, marriage and civil partnership, pregnancy and maternity, race, color, nationality, ethnic or national origin, religion or belief, sex, sexual orientation, or any other legally protected characteristic in hiring or other employment practices.
2.2 Anti-Harassment and Abuse
You shall commit to a workplace free of harassment and abuse and shall not threaten workers with, or subject them to, harsh or inhumane treatment. You shall uphold the human rights of workers, treat them with dignity and respect, and ensure they have mechanisms to report grievances.
2.3 Underage Workers
You shall ensure no underage worker is employed in the production or distribution of your goods or services. Employ only those who meet the applicable legal minimum working age, and in no event employ anyone under the age of 16.
2.4 Working Hours, Wages, and Benefits
You shall set working hours, wages, and overtime pay in compliance with applicable laws. Workers shall be paid at least the minimum legal wage or a wage that meets local industry standards, whichever is higher.
2.5 Freedom of Association
You shall allow workers the lawful right to associate with others, form and join organizations of their choice, and bargain collectively without interference, discrimination, retaliation, or harassment.
2.6 Employment Status
You shall employ workers with a written contract of employment, ensure compliance with all relevant immigration regulations, and verify the lawful right of workers to live and work in the country of operation.
2.7 Health and Safety
You shall provide a safe work environment and integrate sound health and safety management practices into your business. Maintain a system for reporting health and safety incidents without fear of reprisal and implement required corrective action.
2.8 Whistleblowing
You shall have clear policies and procedures for workers to report concerns about wrongdoing in the workplace without being victimized or dismissed.
2.9 Prevention of Modern Slavery and Human Trafficking
You shall take steps to ensure that modern slavery and human trafficking are not present in your supply chains or any part of your business. Provide a report within 20 days of request detailing the steps taken to ensure this, including information on business structure, policies, training, due diligence, and any identified issues.
2.10 Environment
You shall develop, implement, and maintain environmentally responsible business practices, comply with all environmental laws, and responsibly manage waste.
2.11 Ethics
You shall conduct all aspects of your business ethically, including relationships, practices, sourcing, and operations.
2.12 Compliance with Law
Your business activities must comply with all applicable laws and regulations in the countries and jurisdictions where you operate.
2.13 Anti-Bribery
You shall not engage in corruption, extortion, embezzlement, or bribery. Abide by all applicable anti-corruption laws, including the UK Bribery Act 2010.
2.14 Disclosure of Information
You shall accurately record and disclose information about your business activities, employment, health and safety, and environmental practices without falsification.
2.15 Competition and Anti-Trust
You must comply with all applicable competition laws, avoid agreements that unfairly restrict competition, and not engage in price-fixing, bid-rigging, or cartel behavior.
2.16 Intellectual Property Rights
You shall respect and protect intellectual property rights, managing technology and know-how appropriately.
2.17 Information Security
You must comply with data privacy laws and protect confidential and proprietary information from unauthorized access or disclosure.
2.18 Management Systems and CSR Responsibilities
Maintain sound management systems to identify and mitigate risks and continuously improve. Designate a representative responsible for social and environmental compliance.
2.19 Risk Assessment and Management
Develop a process to identify and manage risks related to employment, human rights, health and safety, environment, and ethics. Allow periodic evaluations by our representatives.
2.20 Subcontracting
You shall not use subcontractors without our prior written consent and ensure subcontractors comply with this Supplier Code of Conduct.
2.21 Confidentiality
You shall safeguard our information by keeping it confidential, secure, and not discussing or revealing it in public places. These requirements extend beyond the business relationship’s conclusion.
3. Conclusion

This Supplier Code of Conduct promotes a culture of compliance with applicable laws, rules, and regulations.
3.2
Refer to this code when ethical and compliance issues arise. While the code cannot anticipate every issue, it reinforces the ethical and responsible conduct we require in our business relationships.
